Parties: You ("User") and IRF Systems ("Company")

1. Acceptance of the Terms of Use

By accessing and using our artificial intelligence service ("Service"), the User acknowledges that they have read, understood, and agreed to be bound by these Terms. If the user does not agree, they may not use the Service.

2. Age Requirements

Users under 18 must have permission from a parent or legal guardian to use the Service.

• "Input" refers to metadata processed by the platform.
• "Output" refers to insights produced by the Service.
• Together, Input and Output are the "Content".

5. Intellectual Property

• All intellectual property rights in the Service (software, Content, trademarks) belong to or are licensed to the Company.
• Ownership of Output belongs to the User.

6. Privacy

The Company values privacy and does not store User's personal information unless voluntarily provided.

7. Data Protection

Data collection and use of data are governed by the Company's internal Data Protection Policy.

8. Accuracy & Limitation of Liability

The Service is provided "as is." The Company makes no warranties regarding accuracy, reliability, or suitability.

• The Company is not liable for inaccuracies, performance issues, or quality failures.
• The Company is not liable for direct, indirect, incidental, consequential, or punitive damages arising from use of the Service.
• Reliance on the Service is strictly at the User's own risk.

9. Indemnification

The User agrees to indemnify and hold harmless the Company from any claims, losses, expenses, attorney fees, costs, and judgments arising from the User's actions or omissions.

10. Termination

The Company may suspend or terminate access to the Service at any time without notice for violations of these Terms.

11. Amendment

The Company may update these Terms at any time. Changes are effective immediately. Continued use of the Service constitutes acceptance of the modified Terms.

12. Alternative Dispute Resolution (ADR)

Disputes shall first be addressed through good faith negotiations. If unresolved, parties may proceed under one of the following ADR methods:

• Mediation: Disputes submitted to mediation under applicable statutory rules.
• Binding Arbitration: Disputes resolved by binding arbitration under American Arbitration Association (AAA) rules. Decision is final and enforceable by court.
• Mediation then Arbitration: Disputes first submitted to mediation; unresolved issues proceed to binding arbitration under AAA rules.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware.

14. Entire Agreement

These Terms represent the full agreement between the User and the Company regarding the Service, superseding all prior or contemporaneous agreements (written or oral), except the Company's privacy and data policies which will remain in effect.

15. Headings

Headings are for convenience only and do not affect interpretation.

16. Disclaimer

The Service uses experimental technology. The User should use discretion before relying on, publishing, or otherwise using Content. The Company does not guarantee the accuracy, completeness, or usefulness of the Content and assumes no liability for reliance by the User or others.
